Terms of Service
1. Service Agreement
This master agreement establishes the binding relationship between IMP International Media Partners AG and the client commissioning strategic digital marketing services. By engaging IMP International Media Partners AG for consulting, technical search optimization, paid media procurement, content generation, or funnel development, the client affirms acceptance of these provisions. Statements of Work (SOW) executed between the parties will detail specific scope, targets, and deliverable schedules under the umbrella of these terms.
2. Timelines & Execution
IMP International Media Partners AG commits to deploying qualified personnel and executing project milestones according to schedules outlined in applicable client agreements. However, project timelines remain contingent on timely client feedback, asset provisions, and technical approvals. Unforeseen disruptions caused by external advertising platform policy audits, third-party software updates, or programmatic algorithm overhauls shall warrant proportional timeline adjustments without penalty to IMP International Media Partners AG.
3. Client Responsibilities
The client agrees to supply accurate, lawful, and complete collateral necessary for IMP International Media Partners AG to fulfill campaign mandates. This includes prompt provisioning of verified ad platform accesses, administrative domain authorizations, approved creative assets, and timely review of copy drafts. The client warrants that all copy, trademarks, imagery, and product representations supplied to IMP International Media Partners AG do not infringe upon third-party intellectual property or violate trade regulations.
4. Payments & Billing
Retainers, management fees, and project installments must be settled in full per the invoicing schedule specified in the executed agreement. Unless otherwise established in writing, invoices rendered by IMP International Media Partners AG are due upon delivery or within Net 15 days. Direct third-party media expenditures on platforms such as Google Ads, Meta Ads, and LinkedIn Campaign Manager remain the direct financial obligation of the client and must be secured via the client's dedicated corporate payment methods.
5. Limitation of Liability
To the maximum extent permitted by applicable law, IMP International Media Partners AG shall not be held liable for indirect, incidental, consequential, special, or exemplary damages, including lost revenue, lost profits, reputational harm, or business interruption arising out of campaign deployment or account suspensions dictated by independent third-party platforms. In all events, the aggregate cumulative liability of IMP International Media Partners AG for any claims connected with the service agreement shall not exceed total fees paid to IMP International Media Partners AG by the client during the three months immediately preceding the event giving rise to liability.
